TERMS & CONDITIONS

The Chairman Upholstery

1. Definitions

“we”, “us”, “our” refers to The Chairman Upholstery.
“client”, “you” refers to the person or entity accepting a quotation or engaging our services.
“works” means all upholstery, restoration, repair, manufacturing, or related services provided.

2. Quotations

2.1 All quotations are valid for 14 days unless stated otherwise.
2.2 Quotations are based on information available at the time and may be subject to change if circumstances alter, including the condition of furniture or availability of materials.
2.3 Quotations do not include variations or additional work unless expressly stated.

3. Acceptance of Quote

3.1 Acceptance of a quotation may be made by written confirmation, email approval, payment of the deposit, or instruction to proceed.
3.2 Acceptance of a quotation constitutes acceptance of these Terms & Conditions.

4. Payment Terms

4.1 A 30% deposit is required upon acceptance of the quotation.
4.2 The balance is payable on completion of the works, unless otherwise negotiated and agreed in writing.
4.3 Ownership of all goods remains with The Chairman Upholstery until full payment has been received.
4.4 We reserve the right to withhold delivery or release of items until payment is made in full.

5. Late Payment

5.1 Payments not made when due may attract interest at a rate permitted under New South Wales law, calculated daily.
5.2 Any reasonable costs incurred in recovering overdue amounts, including administrative, legal, or debt-collection fees, may be charged to the client.
5.3 We reserve the right to suspend further work if payments are overdue.

6. Variations

6.1 Any variation to the agreed scope of works may result in a price and/or time adjustment.
6.2 Variations will be communicated and, where practicable, approved prior to commencement.

7. Lead Times and Delays

7.1 Lead times are estimates only and may be affected by factors outside our control, including supplier delays, availability of materials, or unforeseen issues uncovered during works.
7.2 We are not liable for delays caused by such factors.

8. Client-Supplied Materials

8.1 Where clients supply their own fabrics or materials, no warranty is given as to their suitability, performance, or durability.
8.2 We are not responsible for defects, shrinkage, colour fastness, or failure of client-supplied materials.

9. Risk and Insurance

9.1 All reasonable care is taken while items are in our possession.
9.2 We are not responsible for pre-existing faults, hidden structural defects, or deterioration inherent in aged or previously repaired furniture, to the extent permitted by law.

10. Cancellations

10.1 Deposits are non-refundable once work has commenced or materials have been ordered.
10.2 If a cancellation occurs after work has started, the client is responsible for costs incurred up to that point.

11. Warranty and Australian Consumer Law

11.1 Our services come with guarantees that cannot be excluded under the Australian Consumer Law.
11.2 Where permitted, our liability is limited to the re-supply of services or the cost of having the services re-supplied.
11.3 This warranty does not cover fair wear and tear, misuse, or damage caused by external factors.

12. Limitation of Liability

12.1 To the extent permitted by law, we are not liable for indirect or consequential losses, including loss of use or loss of profit.
12.2 Our total liability shall not exceed the value of the works performed.

13. Photography and Marketing

13.1 We reserve the right to photograph completed works for portfolio, marketing, and promotional purposes unless otherwise agreed in writing.

14. Governing Law

14.1 These Terms & Conditions are governed by the laws of New South Wales, Australia.
14.2 Any disputes shall be subject to the jurisdiction of the courts of New South Wales.

15. Entire Agreement

15.1 These Terms & Conditions, together with the accepted quotation, constitute the entire agreement between the parties.
